Terms of Service

By engaging Sihari Labs ("Company", "we", "us") for any service — including AI development, software engineering, LLM platforms, or consulting — you ("Client") agree to be bound by these Terms of Service. If you do not agree, do not proceed with any engagement.

These terms constitute the entire agreement between you and Sihari Labs with respect to services provided, and supersede any prior discussions, proposals, or representations.

Sihari Labs provides bespoke software development, AI agent engineering, LLM platform integration, WhatsApp automation, mobile application development, and related technology consulting. The specific deliverables, milestones, and timelines for each engagement are defined in a separate Statement of Work (SoW) or project agreement.

We reserve the right to subcontract portions of work to trusted partners while retaining responsibility for overall quality and delivery. Any subcontracting does not affect our obligations to you.

To ensure successful project delivery, the Client agrees to:

• Provide accurate, complete, and timely information required for the project.
• Designate a point of contact with authority to make project decisions.
• Review and approve deliverables within agreed timelines — delays may affect the schedule.
• Ensure all third-party materials provided to us are licensed appropriately.
• Pay invoices within the agreed payment schedule.

Upon full payment of all invoices, Sihari Labs assigns to the Client all intellectual property rights in the custom deliverables created specifically for the Client under a given project, excluding pre-existing tools, frameworks, and proprietary methodologies developed by Sihari Labs.

Sihari Labs retains ownership of all pre-existing IP, internal tooling, reusable components, and general-purpose code that is not created exclusively for the Client. We reserve the right to showcase completed work in our portfolio unless explicitly restricted in writing.

Payment terms are defined in the project agreement or proposal. Standard terms are 50% advance before work begins and 50% upon delivery, unless otherwise agreed. All fees are in Indian Rupees (INR) unless a different currency is agreed in writing.

Late payments beyond 15 days of the due date may incur a 2% per month interest charge. Sihari Labs reserves the right to pause or terminate work on unpaid projects after reasonable notice.

Both parties agree to keep confidential any proprietary information shared during the engagement. Sihari Labs will not disclose client business data, source code, or trade secrets to third parties without written consent. This obligation survives termination of the engagement for a period of two (2) years.

To the maximum extent permitted by applicable law, Sihari Labs shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of or inability to use our services, even if we have been advised of the possibility of such damages.

Our total liability for any claim related to a specific project shall not exceed the total fees paid by the Client for that project in the three (3) months preceding the claim.

Either party may terminate a project engagement with 14 days written notice. Upon termination, the Client shall pay for all work completed up to the termination date. Sihari Labs will deliver all completed work to the Client upon receipt of such payment. Provisions relating to IP, confidentiality, and limitation of liability survive termination.

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Jhansi, Uttar Pradesh, India. We encourage resolving disputes amicably before pursuing legal remedies.

Sihari Labs reserves the right to update these Terms at any time. Material changes will be communicated via email or notice on our website. Continued engagement with our services after such notice constitutes acceptance of the revised Terms. For questions, contact us at admin@siharilabs.com.
